Terms of Business

These Terms of Business apply to all services provided by Tom's Handy Solutions to clients. By engaging my services, you agree to these Terms of Business.

1. Services

Tom's Handy Solutions provides business support services including, but not limited to:

  • Virtual assistant services
  • Business administration support
  • Customer communication support
  • Diary and appointment management
  • Quote and invoice administration
  • Website updates and maintenance
  • General business support services

Specific services will be agreed with each client before work begins.

2. Working Relationship

Tom's Handy Solutions operates as an independent service provider. Nothing within these terms creates an employment relationship, partnership or joint venture between Tom's Handy Solutions and the client.

3. Quotations and Estimates

Any quotation or estimate provided is based on the information available at the time. Additional work requested outside the original scope may incur additional charges, which will be discussed and agreed before proceeding.

4. Fees and Payment

Fees will be agreed before work begins. Payment may be charged on an hourly basis, as a fixed project fee or through a monthly support package.

Invoices are payable within 14 days unless otherwise agreed in writing. Late payments may result in work being paused until payment is received.

5. Client Responsibilities

The client agrees to:

  • Provide accurate information
  • Supply necessary documents, materials and access credentials
  • Respond to requests for information in a timely manner
  • Review and approve completed work where required

Delays caused by missing information may affect project timescales.

6. Confidentiality

All client information, documents, business records and login credentials will be treated as confidential. Confidential information will not be disclosed to third parties unless required by law, necessary to deliver agreed services or authorised by the client.

This obligation continues after the working relationship ends.

7. Data Protection

Personal information will be handled in accordance with the Privacy Policy and applicable UK data protection legislation, including UK GDPR. Clients remain responsible for ensuring they have the legal right to share any information provided.

8. Website Services

Where website updates or maintenance services are provided:

  • The client remains responsible for website ownership and content.
  • Tom's Handy Solutions is not responsible for third-party hosting outages, plugin failures, software bugs or issues caused by third-party providers.
  • Clients are encouraged to maintain backups of all website content and data.

9. Limitation of Liability

Tom's Handy Solutions will take reasonable care and skill in delivering services.

To the fullest extent permitted by law, no liability is accepted for indirect or consequential losses. No guarantee is given regarding specific business outcomes, revenue increases or customer acquisition. Total liability shall not exceed the amount paid by the client for the relevant services.

Nothing in these terms excludes liability that cannot legally be excluded.

10. Cancellation

Either party may terminate ongoing services by providing reasonable notice. For monthly support arrangements, 14 days' notice is recommended unless otherwise agreed.

Any completed work and time already incurred will remain payable.

11. Availability

While reasonable efforts will be made to meet agreed deadlines, all deadlines are estimates unless specifically agreed otherwise. Availability may vary depending on workload, holidays or unforeseen circumstances.

12. Intellectual Property

Unless otherwise agreed, the client retains ownership of materials they provide. Upon full payment, the client receives ownership of completed work created specifically for them.

Tom's Handy Solutions retains ownership of pre-existing templates, systems, processes and methodologies.

13. Changes to These Terms

These Terms of Business may be updated from time to time. The latest version will always be available on the Tom's Handy Solutions website.

14. Governing Law

These Terms of Business shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
